1. Acceptance of Terms

By creating an account, accessing, or using the AgreeMint mobile application and associated services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AgreeMint ("we," "us," or "our"). By using the Platform, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

2. Platform Description

AgreeMint is a peer-to-peer contract management platform that enables users to create, manage, and track digital agreements — referred to as "Mints" — with other parties. The Platform provides tools for:

• Creating and managing Mints (digital agreements) between parties
• Facilitating payment transactions between parties via integrated payment processing (Stripe Connect)
• Digital signature collection and verification
• Document storage and attachment management
• Mint status tracking and notifications

3. User Accounts and Responsibilities

When you create an account on AgreeMint, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials, including passwords and biometric authentication
• Promptly notify us of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account
• Not create multiple accounts or share account credentials with third parties

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or if your account is being used fraudulently.

4. Profile Visibility and Information Sharing

AgreeMint allows you to control the visibility of your profile information to other users on the Platform through the Profile Visibility setting. By configuring your profile visibility, you consent to the sharing of your information as described below:

4.1 Visibility Levels

• Private (Default): Your profile is not discoverable by other users through search. Only users you have an existing Mint or contact relationship with can see your basic identity.
• Basic: Other users may search for you by name, email address, or phone number. Your name, avatar, Mint Score, tier badge, and member-since date will be visible to searchers.
• Full: In addition to all information shared under Basic visibility, other users can view your mint types, reviews received from other parties, contract completion rate, and response time statistics.

4.2 Consent and Control

By selecting Basic or Full visibility, you expressly consent to the sharing of the corresponding profile information with other AgreeMint users. You may change your visibility level at any time through the Settings screen in the app. Changes take effect immediately.

4.3 Important Notices

• The default visibility setting for all accounts is Private. No profile information is shared unless you actively choose to change this setting.
• AgreeMint does not sell your profile information with third parties outside the Platform, regardless of your visibility setting.
• Reviews and ratings displayed under Full visibility are aggregated and anonymized — individual reviewer identities are not disclosed.
• AgreeMint does not guarantee the accuracy of information displayed on other users' profiles and is not responsible for any decisions you make based on such information.

5. Mint Creation and Management

The Platform allows you to create Mints (digital agreements) with other parties. When using the Mint features, you acknowledge that:

• You are solely responsible for the content, terms, and accuracy of any Mint you create
• AgreeMint does not review, verify, endorse, or validate the legality or enforceability of any Mint created on the Platform
• Mints created on the Platform may or may not be legally binding depending on your jurisdiction — you should consult a legal professional for advice
• You are responsible for ensuring that all parties to a Mint have agreed to its terms
• AgreeMint does not provide legal advice and is not a substitute for professional legal counsel

6. Payment Processing

AgreeMint integrates with third-party payment processors (currently Stripe Connect) to facilitate financial transactions between users. By using the payment features, you acknowledge and agree that:

• AgreeMint acts solely as a facilitator of payment transactions between parties and is not a party to any financial transaction
• Payment processing is subject to the terms and conditions of the third-party payment processor (Stripe)
• You are responsible for ensuring that payment amounts, schedules, and terms are accurate and agreed upon by all parties
• AgreeMint does not hold, escrow, or guarantee any funds transferred between parties
• Transaction fees, currency conversion charges, and other payment processing costs are the responsibility of the transacting parties as determined by the payment processor
• AgreeMint is not responsible for payment failures, delays, disputes, chargebacks, or errors caused by the payment processor or the parties involved

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• AgreeMint is not responsible for any fraud, misrepresentation, breach of contract, financial losses, damages, or disputes arising from contracts or transactions between users of the Platform.
• AgreeMint shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform
• AgreeMint is not liable for the actions, omissions, or conduct of any user on the Platform
• AgreeMint does not guarantee the identity, creditworthiness, reliability, or intentions of any user
• In no event shall AgreeMint's total liability to you exceed the amount you have paid to AgreeMint (if any) in the twelve (12) months preceding the claim

8. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Platform will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content or information on the Platform
• Warranties that the Platform will meet your specific requirements or expectations

9. Dispute Resolution Between Parties

AgreeMint does not mediate, arbitrate, or otherwise participate in disputes between users of the Platform. If a dispute arises between you and another user regarding a Mint or transaction:

• You are solely responsible for resolving the dispute directly with the other party
• AgreeMint may, at its sole discretion, provide tools to pause or flag Mints, but this does not constitute involvement in the dispute
• AgreeMint reserves the right to suspend accounts involved in reported fraudulent activity, but is under no obligation to investigate or resolve disputes
• You agree not to hold AgreeMint liable for the outcome of any dispute between users

10. Indemnification

You agree to indemnify, defend, and hold harmless AgreeMint and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Platform
• Any Mint or transaction you enter into through the Platform
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Any content you submit, post, or transmit through the Platform

11. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the software, design, logos, trademarks, and content provided by AgreeMint, are owned by or licensed to AgreeMint. You may not:

• Copy, modify, distribute, or create derivative works based on the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use AgreeMint's trademarks or branding without prior written consent

Content you create on the Platform (Mints, documents, signatures) remains your intellectual property. By using the Platform, you grant AgreeMint a limited license to store, process, and display your content as necessary to provide the service.

12. Termination and Account Deletion

You may terminate your account at any time through the settings screen in the app. Upon termination:

• Your access to the Platform will be revoked
• Your personal data will be handled in accordance with our Privacy Policy
• Active Mints may remain accessible to other parties involved for their records
• Completed payment transactions cannot be reversed through account deletion

AgreeMint reserves the right to terminate or suspend your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and notify users via email and/or in-app notification. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in the United States.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgreeMint regarding the use of the Platform, and supersede any prior agreements or understandings.
